These Terms of Service ("Terms") constitute a legally binding agreement between you (or the organization you represent, "Customer") and Arctyx, Inc. ("Arctyx", "we", "us", or "our"). By accessing or using the Arctyx platform at arctyx.io (the "Service"), you accept and agree to be bound by these Terms.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Arctyx is a software-as-a-service platform that analyzes software repositories and documentation to generate architecture diagrams, improvement recommendations, risk assessments, and strategic reports. The Service includes:
Features available to you depend on your subscription plan. Arctyx reserves the right to modify, add, or remove features with reasonable notice.
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
You must be at least 18 years old to create an account. Accounts registered on behalf of organizations must be created by an authorized representative.
Arctyx offers the following subscription tiers:
Annual plans are billed in full at the start of each annual period. Monthly plans are billed on the same day each month.
When you exceed the limits included in your plan, overage charges apply automatically:
Overage charges are calculated and billed at the end of each billing period. A usage summary is available in your account dashboard.
Arctyx may offer a free trial period for new accounts. Trial accounts are subject to plan limits. No credit card is required for a trial. At the end of the trial period, your account converts to a free tier (with reduced limits) unless you subscribe to a paid plan.
All payments are processed by Stripe. By providing a payment method, you authorize Arctyx (via Stripe) to charge your payment method for all applicable fees. All fees are non-refundable except as expressly stated in these Terms or required by law.
We will provide at least 30 days' notice before changing subscription prices. Price changes take effect at the start of your next billing period after the notice period.
You may cancel your subscription at any time from your account settings or by emailing legal@arctyx.io. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the paid period. No partial refunds are provided for unused time.
Arctyx may suspend or terminate your account if payment is not received within 14 days of the due date.
You agree to use the Service only for lawful purposes. You must not:
Violation of these rules may result in immediate suspension or termination of your account.
Your content: You retain all ownership of your source code, repositories, and documentation. By connecting your repositories to Arctyx, you grant Arctyx a limited, non-exclusive, temporary license to access and read your code solely to provide the Service.
Arctyx content: The Arctyx platform, software, algorithms, interface, and all generated report templates are the exclusive property of Arctyx, Inc. All rights not expressly granted to you are reserved.
Output: Architecture diagrams, reports, and other outputs generated by analyzing your repositories are owned by you. Arctyx retains no rights to outputs beyond what is necessary to store and display them to you.
Arctyx will treat your source code, configuration data, and business information as confidential and will not disclose it to third parties except as required to provide the Service (e.g., sending code fragments to the OpenAI API under a data processing agreement), as permitted in the Privacy Policy, or as required by law.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ARCTYX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. ANALYSIS RESULTS AND RECOMMENDATIONS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL ENGINEERING, LEGAL, OR FINANCIAL ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCTYX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. ARCTYX'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO ARCTYX IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Arctyx, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
Either party may terminate these Terms at any time. Arctyx may terminate or suspend your access immediately, without notice, if you breach these Terms. Upon termination, your right to access the Service ceases. Sections 7, 9, 10, 11, and 13 survive termination.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in Delaware, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.
We may update these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms on this page. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.
These Terms, together with the Privacy Policy and any Order Form or Enterprise Agreement, constitute the entire agreement between you and Arctyx regarding the Service and supersede all prior agreements on the same subject matter.
